ANALISIS YURIDIS PENYELESAIAN SENGKETA ELECTRONIC INDONESIA PUBLIC OFFERING (E-IPO) MELALUI BADAN ARBITRASE NASIONAL INDONESIA

Abstract

Regulatory instruments for investment development vary widely with different business application methods according to the type of business, company’s financial performance, market trends and company’s internal capital conditions. Optimizing the use of technology in various fields of life can help realize effectiveness and efficiency so as to facilitate human life. One application of technology that is very important is in the economic field, or what is known as financial technology or FinTech. Financial Technology (FinTech) as a collaboration between technology and financial features or can also be interpreted as renewal in the financial sector with a touch of technology. One type of financial technology is Equity Crowdfunding, which in Indonesia conceptually should be equated with Electronic Indonesia Public Offering (e-IPO) in Capital Market law. E-IPO is a web-based electronic means provided by public offering system operators such as the Indonesia Stock Exchange to support the initial public offering process to the public, such as providing information related to the Initial Public Offering (IPO) and as well as ordering IPO shares from issuers who are conducting public offerings through the e-IPO system. Resolution of e-IPO disputes is carried out through the Indonesian National Arbitration Board (BANI), although the regulation of the Financial Services Authority (OJK) has not determined that. Issues that examined in this research are: (i) e-IPO regulation based on the regulation of the Financial Services Authority (OJK) No. 41/POJK.04/2020 concerning Electronic Public Offering of Equity, Debt Securities, and/or Sukuk Securities, and (ii) Settlement of e-IPO disputes through the Indonesian National Arbitration Board (BANI). This research uses normative legal research methods, with a statutory approach and legal concept analysis. The theory used in examining the problems in this research is the theory of economic law, the theory of state sovereignty and the conception of law as a policy process.Through this research, it can be determined the e-IPO procedure according to the regulation of the Financial Services Authority (OJK) No. 41/POJK.04/2020 and the e-IPO dispute resolution engagement clausul through BANI.

 

 

Instrumen pengaturan pengembangan investasi sangat bervariasi dengan metode aplikasi bisnis yang berbeda-beda sesuai dengan jenis usaha, kinerja keuangan perusahaan, trend pasar dan kondisi permodalan internal perusahaan. Optimalisasi pemanfaatan teknologi dalam berbagai bidang kehidupan dapat membantu terwujudnya efektivitas dan efisiensi sehingga memudahkan manusia dalam kehidupannya. Salah satu penerapan teknologi yang sangat penting adalah di bidang perekonomian, atau yang dikenal dengan financial technology atau FinTech. Financial Technology (FinTech) sebagai suatu kolaborasi antara teknologi dan fitur keuangan atau dapat juga diartikan sebagai pembaharuan dalam sektor finansial dengan sentuhan teknologi. Salah satu tipe financial technology adalah Equity Crowdfunding, yang seharusnya di Indonesia secara konsep dapat dipersamakan dengan Electronic Indonesia Public Offering (e-IPO) dalam hukum Pasar Modal. E-IPO merupakan sarana elektronik berbasis web yang disediakan oleh penyelenggara sistem penawaran umum seperti Bursa Efek Indonesia untuk mendukung proses penawaran umum saham perdana kepada publik, seperti memberikan informasi berkaitan dengan Penawaran Umum Perdana Saham (IPO) serta melakukan pemesanan saham IPO dari emiten yang sedang melaksanakan penawaran umum melalui sistem e-IPO. Penyelesaian sengketa e-IPO adalah melalui BANI meskipun dalam peraturan OJK belum ditentukan demikian. Rumusan masalah dalam penelitian ini: (i) Pengaturan e-IPO berdasarkan peraturan Otoritas Jasa Keuangan (OJK) No. 41/POJK.04/2020 tentang Pelaksanaan Kegiatan Penawaran Umum Efek Bersifat Ekuitas, Efek Bersifat Utang, dan/atau Sukuk Secara Elektronik , (ii) Penyelesaian sengketa e-IPO melalui Badan Arbitrase Nasional Indonesia (BANI). Penelitian ini menggunakan metode penelitian hukum normatif dengan pendekatan perundang-undangan dan Analisa konsep hukum. Teori yang digunakan dalam mengkaji permasalahan dalam penelitian ini yaitu teori perjanjian dan konsepsi hukum sebagai proses kebijakan.Melalui penelitian ini dapat ditentukan prosedur e-IPO berdasarkan pengaturan OJK dan klausul pengikatan penyelesaian sengketa e-IPO melalui BANI.
